Referendum Approves New Bylaws for STC

These votes were cast using Votenet Solution's SAS70 certified system, eBallot. The certification and accompanying examination was done in accordance with the standards established by the American Institute of Certified Public Accountants.

Background

The STC Board of Directors convened a special meeting to encourage STC member participation and feedback on what was then proposed changes to the Bylaws at the STC conference on Sunday, May 13, 3 - 5 pm in the Minneapolis Convention Center, Room 102-EF. The discussion was led by then-chair of the STC Bylaws Committee, Bob Dianetti.

The need for amended bylaws was driven by:

• United States Internal Revenue Service (I.R.S.) requirements. The IRS has tightened up requirements relating to non-profit associations. This has particular importance for communities.
• Compliance with New York state law. STC is incorporated in the state of New York. STC’s bylaws must conform to New York state law.
• A need for streamlining. Numerous additions over the 50-year history of STC made the old bylaws overly complicated.
• A need for clarity. The old bylaws were ambiguous or unclear on some important issues.
